Creates the Illinois Veterans' Home in Quincy Foundation Act. Authorizes the Secretary of State to create the Illinois Veterans' Home in Quincy Foundation. Provides further requirements concerning the establishment of the Foundation. Provides for officers of the Foundation. Provides that funds collected by the Foundation shall be used for private partnership projects that will support renovations to the Illinois Veterans Home in Quincy campus, Dudley House, and domiciliary buildings. Provides further requirements concerning Foundation funds. Provides for the adoption of rules. Provides purpose provisions.

| 1 | | AN ACT concerning State government.
| 2 | | Be it enacted by the People of the State of Illinois,
| 3 | | represented in the General Assembly:
| 4 | | Section 1. Short title. This Act may be cited as the | 5 | | Illinois Veterans' Home in Quincy Foundation Act. | 6 | | Section 5. Purpose. The purpose of this Act is to | 7 | | establish a Foundation to support projects for the renovation | 8 | | of the Illinois Veterans' Home in Quincy. Grants have been | 9 | | previously proposed to renovate the Veterans' Home, including | 10 | | domiciliary buildings for guest house services to replace | 11 | | existing structures that will soon be demolished. Funds | 12 | | collected by the Foundation created under this Act will be | 13 | | used for such renovations with the belief that the renovations | 14 | | will not only benefit the community and create revenue, but | 15 | | also foster further renovation opportunities through the | 16 | | creation of nonprofit partnership projects that allow | 17 | | corporations a tax-deductible donation. | 18 | | Section 10. Illinois Veterans' Home in Quincy Foundation. | 19 | | The Secretary of State is authorized, in accordance with | 20 | | Section 10 of the State Agency Entity Creation Act, to create a | 21 | | not-for-profit foundation that shall be known as the Illinois | 22 | | Veterans' Home in Quincy Foundation. The Secretary shall file |

| 1 | | articles of incorporation and bylaws as required under the | 2 | | General Not For Profit Corporation Act of 1986 to create the | 3 | | Foundation. The Foundation shall not exceed the provisions of | 4 | | the General Not For Profit Corporation Act of 1986. There | 5 | | shall be not less than 6 nor more than 11 Directors of the | 6 | | Foundation to be appointed by the Secretary of State, with the | 7 | | advice and consent of the Senate. The Secretary of State or his | 8 | | or her designee shall serve as an ex officio Director of the | 9 | | Foundation. No Director may receive compensation for his or | 10 | | her services to the Foundation. | 11 | | Section 15. Selecting officers; rules. As soon as | 12 | | practical after the Foundation is created, the Directors shall | 13 | | meet, organize, and designate, by majority vote, a | 14 | | Chairperson, Secretary, Treasurer, and any additional officers | 15 | | as may be needed to carry out the activities of the Foundation. | 16 | | The Secretary of State may adopt rules deemed necessary to | 17 | | govern Foundation procedures. | 18 | | Section 20. Funds collected by the Foundation.
| 19 | | (a) Funds collected by the Foundation shall be used for | 20 | | private partnership projects that will support renovations to | 21 | | the Illinois Veterans Home in Quincy campus, Dudley House, and | 22 | | domiciliary buildings.
| 23 | | (b) The Foundation may accept gifts or grants from the | 24 | | federal government, its agencies or officers, or from any |

| 1 | | person, firm, corporation, or private foundation, and may | 2 | | expend receipts on activities that it considers suitable to | 3 | | the performance of its duties under this Act.
| 4 | | (c) Funds collected by the Foundation shall be considered | 5 | | private funds and shall be held in an appropriate account | 6 | | outside of the State treasury. The Treasurer of the Foundation | 7 | | shall be custodian of all Foundation funds.
| 8 | | (d) The Foundation's accounts and books shall be set up | 9 | | and maintained in a manner approved by the Auditor General and | 10 | | the Foundation and its officers shall be responsible for the | 11 | | approval of recording of receipts, the approval of payments, | 12 | | and the proper filing of required reports.
| 13 | | (e) The Foundation may be assisted in carrying out its | 14 | | functions by personnel of the Office of the Secretary of State | 15 | | with respect to matters falling within their scope and | 16 | | function. The Foundation shall cooperate fully with the | 17 | | boards, commissions, agencies, departments, and institutions | 18 | | of the State.
| 19 | | (f) The funds held and made available by the Illinois | 20 | | Veterans' Home in Quincy Foundation shall be subject to | 21 | | financial and compliance audits by the Auditor General in | 22 | | compliance with the Illinois State Auditing Act.
