Amends the General Not For Profit Corporation Act of 1986. Makes a technical change in a Section concerning the short title.

Replaces everything after the enacting clause. Amends the Business Corporation Act of 1983 and the General Not For Profit Corporation Act of 1986. Distinguishes under both Acts the indemnification rights of a corporation's current directors and officers from the indemnification rights of a corporation's former directors, officers, other employees and agents and persons serving at the request of the corporation as directors, officers, employees or agents of another entity. Clarifies the situations under both Acts where indemnification by a corporation will be made upon a determination that the applicable standard of conduct has been met by the person to be indemnified and, with respect to a person who is a director or officer of the corporation at the time of the determination, specifies that a board of directors decision that the determination be made by independent legal counsel in a written legal opinion be done at the direction of only those directors who are not parties to such action, suit or proceeding rather than at the direction of the entire board of directors. Also clarifies under both Acts that a right to indemnification or advancement of expenses under a corporation's articles of incorporation or by-law cannot be eliminated or impaired by an amendment to such provision subsequent to the action or omission for which indemnification or advancement of expenses is sought unless the provision in effect at the time of such action or omission explicitly authorizes such subsequent elimination or impairment. Makes other changes. Effective immediately.
